TERMS AND CONDITIONS FOR INDOLOOMS (TNV INTERNATIONAL)

 

1. INTRODUCTION

 

Welcome to the IndoLooms website. These Terms and Conditions govern your use of the Site and all business transactions conducted between you (the "Buyer/Wholesaler") and TNV International (the "Company/Seller"), an export house based in India. By accessing this Site or placing an order, you agree to be bound by these terms.

 

2. BUSINESS-TO-BUSINESS (B2B) NATURE

 

IndoLooms is a B2B platform. All orders placed through this Site are considered commercial transactions between businesses. By ordering, you confirm that you are purchasing goods for resale or business use and not for personal consumption.

 

3. PRODUCT SPECIFICATIONS & QUALITY

 

• Standard: All IndoLooms apparel is manufactured to the specifications listed on the product pages (e.g., 180 GSM, 100% Combed Cotton, Bio-washed finish).


• Variations: Minor color variations may occur due to screen settings or dyeing lot differences. A tolerance of +/- 5% in GSM and +/- 0.5 inches in sizing is considered acceptable in international textile standards.

 

4. PRICING & QUOTATIONS

 

• Currency: All prices are quoted in US Dollars (USD) unless otherwise stated.


• Incoterms: Unless specified otherwise in a formal Proforma Invoice, all prices are FOB (Free On Board) or Ex-Works (EXW). Shipping, insurance, and local import duties in the destination country are the responsibility of the Buyer.

 

5. ORDERS & PAYMENTS

 

• MOQ: Minimum Order Quantities apply to all wholesale orders as specified in our catalog.


• Payment Terms: Standard payment terms are 50% advance to initiate production and 50% against scanned copies of shipping documents (Bill of Lading), or through an Irrevocable Letter of Credit (LC) at sight for large consignments.


• Confirmation: An order is only considered "Accepted" once the advance payment is received and reflected in our designated Indian bank account.

 

6. SHIPPING & DELIVERY

 

• Timelines: Production lead times are typically 21–30 days from payment. Shipping transit time depends on the carrier and destination port.


• Documentation: TNV International will provide standard export documents, including the Commercial Invoice, Packing List, Bill of Lading, and Certificate of Origin.

 

7. INSPECTION & CLAIMS

 

• Inspection: Buyers are encouraged to appoint a third-party inspection agency (e.g., SGS) at our factory before dispatch.


• Claims: Any claims regarding manufacturing defects must be reported in writing within 7 days of the goods reaching the destination port, supported by high-resolution photos and videos.

 

8. LIMITATION OF LIABILITY

 

TNV International shall not be liable for delays caused by customs clearance, port strikes, or natural disasters (Force Majeure). Our liability is limited to the replacement of defective goods or a refund of the product value only.

 

9. GOVERNING LAW

 

These terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Mumbai/Kalyan, Maharashtra, India.

 

10. INTELLECTUAL PROPERTY

 

All content on this Site, including the IndoLooms logo, factory videos, and "African Classic Fit" designs, are the intellectual property of TNV International. Unauthorized use is strictly prohibited.

Shipping & Delivery Policy

 

Welcome to IndoLooms. As a premier international textile exporter, we are committed to delivering our high-quality garments to global markets through structured, secure, and highly reliable logistics networks.

 

Because we operate primarily on a B2B (Business-to-Business) and wholesale distribution model, our shipping terms are designed to ensure complete transparency, strict regulatory compliance, and smooth port-to-port execution.

 

1. STANDARD TRADE TERMS (INCOTERMS)

 

• Our Responsibility: IndoLooms manages and covers all costs for manufacturing, quality control, inland transport from our factories to the departure port in India, Custom House Agency (CHA) handling, and local customs clearing.


• Buyer's Responsibility: The buyer or local importing agent assumes responsibility for the goods once they are loaded onto the vessel at the port of origin. This includes international ocean/air freight, transit insurance, port of destination handling, and local import customs clearance and duties.

 

2. ORDER PROCESSING & MANUFACTURING TIMELINES

 

• Small/Trial Orders: Approximately 20 to 25 business days for manufacturing and packing.


• Standard Distribution Consignments: Approximately 25 to 35 business days depending on specific color breakdowns and custom packaging requirements.

 

Note: Exact production schedules will be officially locked in upon receipt of the initial advance payment as specified in the contract.

 

3. DISPATCH PORTS & INLAND LOGISTICS

 

We route our shipments through India's major maritime trade gateways to ensure timely departures. Most consignments are dispatched via Tuticorin Port (V.O. Chidambaranar Port Authority) or Nhava Sheva Port (JNPT), depending on shipping optimization and buyer location.

 

4. INTERNATIONAL COMPLIANCE & PRE-SHIPMENT INSPECTIONS

 

• We coordinate and clear all mandatory pre-shipment quality standards and regional verifications required by destination countries.


• Essential international documents—including the Commercial Invoice, Packing List, Certificate of Origin (COO), and Bill of Lading (B/L)—are meticulously prepared and processed.

 

5. SHIPMENT DOCUMENTATION RELEASE

 

• A digital scan of the Bill of Lading (B/L) will be provided immediately after vessel departure as proof of shipment.


• Original shipping documents are released only after realization of the final balance payment as agreed in the payment terms.

 

6. DELAYS & FORCE MAJEURE

 

IndoLooms is not liable for delays caused by carrier schedule changes, port congestion, customs clearance delays, or unforeseen global disruptions (Force Majeure). However, shipment tracking support and status updates will be continuously provided.
